These Terms and Conditions (“Terms”) govern your access to and use of Raisi Club, including our website, application process, community, events, introductions, communications, and related services.

Raisi Club is operated by Raisi, Inc. (“Raisi,” “Raisi Club,” “we,” “us,” or “our”).

By accessing the website, submitting an application, becoming a member, or participating in Raisi Club, you agree to these Terms.

If you do not agree to these Terms, do not use Raisi Club.

1. About Raisi Club

Raisi Club is a private community intended to bring founders together to exchange experience, support one another, build relationships, access relevant resources, and participate in selected introductions, events, and opportunities.

Raisi Club may provide opportunities to connect with:

• Founders

• Investors

• Operators

• Advisors

• Partners

• Service providers

• Members of the broader Raisi network

Participation does not guarantee access to any particular individual, investor, opportunity, event, introduction, financing, partnership, or business outcome.

2. Eligibility

You must be at least 18 years old to apply for or participate in Raisi Club.

By using Raisi Club, you represent that:

• You have legal capacity to enter into these Terms

• The information you provide is accurate and not misleading

• Your participation does not violate any obligation you owe to another person or organization

• You will comply with applicable laws and these Terms

3. Applications and Membership

Membership is selective and subject to approval by Raisi Club.

Submitting an application does not guarantee membership.

We may consider factors including:

• Your professional background

• The business or project you are building

• Your experience

• Your goals

• Your potential contribution to the community

• Community fit

• Capacity and availability within the Club

We may accept, decline, defer, suspend, or terminate an application or membership at our discretion, subject to applicable law.

We are not required to provide a reason for an application or membership decision.

4. Community Expectations

Raisi Club is built around trust, ambition, generosity, and respect.

By participating, you agree to:

• Treat other members respectfully

• Communicate honestly and professionally

• Avoid harassment, discrimination, threats, or abusive conduct

• Avoid spam, mass solicitation, or unwanted promotion

• Avoid misrepresenting yourself, your business, your experience, or your relationships

• Respect the privacy of other members

• Respect intellectual property and confidential information

• Use introductions responsibly

• Avoid conduct that materially harms the community or its members

We may remove content, restrict access, suspend participation, or terminate membership where we reasonably believe these expectations have been violated.

5. Confidentiality and Member Communications

Members may discuss sensitive business topics, including fundraising, hiring, product strategy, customers, operations, and other business matters.

You should treat information clearly shared in confidence with appropriate care.

However, participation in Raisi Club does not create a legal confidentiality obligation between members unless the relevant parties separately agree to one.

Raisi Club does not guarantee that another member will keep information confidential.

You should not disclose trade secrets, highly sensitive financial information, privileged information, passwords, credentials, or other information that should not be shared without an appropriate agreement.

If confidentiality is important to a particular conversation, you are responsible for putting an appropriate confidentiality agreement in place.

6. Introductions

Raisi Club may facilitate introductions between members and third parties, including founders, investors, operators, advisors, and service providers.

An introduction does not mean that Raisi Club:

• Endorses either party

• Has independently verified all information provided by either party

• Guarantees that the relationship is appropriate

• Guarantees an investment, transaction, partnership, customer relationship, or other outcome

You are responsible for conducting your own diligence before entering into any business, investment, financial, employment, advisory, or commercial relationship.

7. Investors, Fundraising, and Financial Information

Raisi Club may create opportunities for founders and investors to meet.

Nothing provided through Raisi Club constitutes:

• Investment advice

• Legal advice

• Tax advice

• Accounting advice

• A recommendation to purchase or sell securities

• An offer to sell securities

• A solicitation of an offer to purchase securities

Any fundraising, investment, or securities transaction is solely between the relevant parties and subject to applicable law.

Founders and investors are responsible for conducting their own diligence and obtaining appropriate professional advice.

Raisi Club does not guarantee:

• Funding

• Investor interest

• Meetings

• Introductions

• Valuations

• Transaction completion

• Investment returns

• Business performance

8. No Professional Advice

Information provided through Raisi Club, including discussions with members, content, events, resources, introductions, or communications, is for general informational and community purposes.

It should not be treated as a substitute for professional legal, financial, tax, accounting, investment, medical, or other regulated advice.

You are responsible for obtaining professional advice appropriate to your circumstances.

9. Your Information and Content

You retain ownership of information, materials, and content you submit to Raisi Club.

By submitting content to us, you grant Raisi, Inc. a limited, non-exclusive right to use, store, reproduce, and process that content as reasonably necessary to:

• Operate Raisi Club

• Review your application

• Administer membership

• Facilitate requested introductions

• Provide Club services

• Maintain records

• Improve our operations

This license does not transfer ownership of your underlying content to Raisi.

You represent that you have the right to provide any information or content you submit.

10. Intellectual Property

The Raisi Club website, brand, design, graphics, software, written materials, trademarks, logos, and other content provided by Raisi are owned by or licensed to Raisi, Inc. and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not:

• Copy

• Reproduce

• Republish

• Distribute

• Sell

• License

• Modify

• Create derivative works from

• Exploit

Raisi Club materials without our prior permission.

You may not use Raisi or Raisi Club branding in a way that suggests sponsorship, endorsement, partnership, or affiliation without authorization.

11. Acceptable Use

You may not use Raisi Club or its website to:

• Violate any law

• Commit fraud

• Impersonate another person

• Misrepresent your identity or affiliations

• Harass or harm others

• Distribute malware

• Interfere with the website or systems

• Attempt unauthorized access to accounts or systems

• Scrape or systematically extract member information without permission

• Build unauthorized contact lists

• Send unsolicited bulk communications

• Use member information for unrelated commercial solicitation

• Infringe intellectual property or privacy rights

• Facilitate illegal or deceptive conduct

12. Third-Party Services

Raisi Club may link to or integrate with third-party products, services, websites, event platforms, communication systems, or other tools.

Those third-party services are governed by their own terms and policies.

We are not responsible for the availability, security, accuracy, or operation of third-party services.

13. Events

Raisi Club may organize or facilitate online or in-person events.

Event availability may be limited.

We may change:

• Event dates

• Locations

• Speakers

• Formats

• Capacity

• Programming

where reasonably necessary.

Participation in an event is at your own risk, subject to applicable law.

14. Communications

By submitting an application or becoming a member, you agree that we may send you communications reasonably related to:

• Your application

• Membership

• Events

• Introductions

• Club activities

• Community updates

• Security

• Administrative matters

Where legally permitted, we may also send promotional communications.

You may unsubscribe from promotional communications, but you may continue to receive administrative communications necessary to operate your membership or application.

15. Membership Suspension and Termination

We may suspend or terminate access to Raisi Club if we reasonably determine that you:

• Violated these Terms

• Misused member information

• Engaged in harassment or abusive behavior

• Created security or legal risk

• Misrepresented material information

• Harmed the community or its members

• Used the Club for unauthorized solicitation or spam

You may stop participating in Raisi Club at any time.

Sections that by their nature should survive termination will remain in effect, including provisions relating to intellectual property, disclaimers, liability, disputes, and confidentiality expectations.

16. Availability and Changes

We may modify, suspend, discontinue, or change any part of Raisi Club at any time.

This may include changes to:

• Features

• Events

• Community programs

• Membership criteria

• Introductions

• Content

• Access

• Website functionality

We do not guarantee continuous or uninterrupted availability.

17. Disclaimer of Warranties

To the maximum extent permitted by law, Raisi Club and related services are provided on an “as is” and “as available” basis.

Raisi, Inc. makes no guarantee that:

• The Club will meet your expectations

• Any information will be complete or error-free

• Any particular member will participate

• Any introduction will occur

• Any investor will respond

• Any business opportunity will result

• Your company will raise capital

• Your company will grow or succeed

• The website will always operate without interruption

You use Raisi Club at your own discretion and risk.

18. Limitation of Liability

To the maximum extent permitted by law, Raisi, Inc., its affiliates, officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including losses relating to:

• Lost profits

• Lost revenue

• Lost opportunities

• Loss of data

• Business interruption

• Investment losses

• Failed transactions

• Member conduct

• Third-party conduct

arising from or relating to your participation in Raisi Club.

To the maximum extent permitted by law, Raisi, Inc.’s aggregate liability arising out of or relating to Raisi Club will not exceed $100.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Raisi, Inc., its affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:

• Your violation of these Terms

• Your unlawful conduct

• Your infringement of another person’s rights

• Information or content you submit

• Your misuse of member information

• Your business or investment activities arising from Club relationships

20. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any legal proceeding arising from these Terms or Raisi Club that is not otherwise required by law to be brought elsewhere will be brought in the state or federal courts located in San Francisco County, California.

You consent to the jurisdiction of those courts.

21. Changes to These Terms

We may update these Terms from time to time.

The updated version will become effective when posted unless otherwise stated.

If changes materially affect existing members’ rights, we may provide additional notice where required by law.

Continued participation after updated Terms become effective constitutes acceptance of the revised Terms.

22. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

23. Entire Agreement

These Terms, together with our Privacy Policy and any additional written terms expressly applicable to a specific Raisi Club service or event, constitute the agreement governing your use of Raisi Club.
